Document review outsourcing assigns a defined review workload to an external support team under an agreed protocol. In litigation, investigations or transactional work, that may include organizing material, applying review tags, extracting facts and escalating potential privilege issues. Efficiency depends on clear instructions and quality checks, with the responsible legal team retaining review and decision ownership.
Define the Document Review Scope
Specify the matter, collection boundaries, document types, languages, date range and expected volume. Identify the review platform and required outputs: coded records, issue summaries, a chronology or a document index. Distinguish document review from collection, processing, production and legal advice so that responsibilities are clear.
Create a Review Protocol Before Scaling
Document relevance criteria, issue tags, escalation rules and examples of difficult decisions. Name the person who resolves interpretation questions. Give reviewers a controlled sample, compare results and refine the instructions before allocating the full set. Keep a version history so later decisions are applied consistently.
Privilege and confidentiality questions need an agreed escalation path. Define who can make final determinations and how disputed records are held pending review. Do not assume a vendor’s first-pass tag is a final disclosure decision.
Check Quality and Measure Useful Output
Use agreed sampling and second-pass review to detect inconsistent coding and missed issues. Track accepted work, revisions, unresolved questions and reviewer time alongside throughput. Revisit the protocol when repeated exceptions reveal unclear instructions. A high documents-per-hour figure alone does not demonstrate a reliable review.
Agree on Access and Technology Use
Confirm permitted systems, access roles, data locations, transfer methods, retention and deletion arrangements before sharing documents. Approve any AI-assisted workflow and assess its outputs against a reviewed sample. Keep an auditable link between conclusions and source records.
Compare the Full Delivery Cost
Include onboarding, platform charges, supervision, quality control, rework and handover in the estimate. Ask whether the price is hourly, per document or project-based and what triggers a scope change. Test a representative pilot before assuming cost savings or a particular turnaround.
